Terms of Use
Last updated: 30 October 2026
These Terms of Use govern your access to and use of intellivane.com (the "Website") operated by Intellivane Technologies Private Limited ("Intellivane"). By using the Website you agree to them. If you do not agree, please do not use it. Part A covers the Website. Part B sets out the standard terms for SakhaOS; if you have signed a separate agreement or order form, that agreement prevails over Part B where they differ. Items in square brackets, such as [TO CONFIRM], are still being finalised by Intellivane.
Summary: our role in SakhaOS
- Intellivane is a technology platform and intermediary only (and a Data Processor under the DPDP Act). We do not source, select, own, verify or control candidate data and we do not make hiring decisions.
- All candidate and personal data is uploaded or instructed by the customer (the recruiter, agency or client). The customer is solely responsible for its lawfulness: consent or other lawful basis, notices to candidates, accuracy, do-not-disturb and telecom compliance, AI-call and recording disclosure, calling hours, hiring decisions, and any claim by a candidate or a regulator.
- We store and process data only on the customer's documented instructions, for initial screening, to speed up recruitment. AI output is assistive only.
- The customer indemnifies Intellivane for claims arising from its data or use of the platform. Our liability is limited to the maximum extent permitted by law.
Part A: The Website
1. Use of the Website
You may use the Website for lawful purposes only. You agree not to misuse it, attempt unauthorised access, introduce malware, scrape it at a rate that harms it, or use it in a way that breaches any law, including the Information Technology Act, 2000.
2. Information only, no professional advice
The content on this Website is for general information about our products and services. It is not legal, financial, tax or HR advice. Descriptions of products with the label "Early access" or "Coming soon" describe planned or limited-availability offerings, and features, timelines and availability may change.
3. Intellectual property
The Website, its design, text, logo, graphics and software are owned by or licensed to Intellivane and are protected by Indian and international intellectual property laws. "Intellivane" and "SakhaOS" and related logos are our marks, whether or not registered. You may view and print pages for your own business evaluation. You may not copy, modify, distribute or create derivative works without our written permission.
4. Enquiries and demos
Sending an enquiry or requesting a demo does not create a contract. Any commercial engagement requires a written agreement, proposal or order form signed or accepted by both parties.
5. Products and services
Our products are provided under the agreement for that product and, for SakhaOS, Part B below. If there is a conflict, the signed agreement prevails.
6. AI-generated output
Our products use artificial intelligence. AI output can be incorrect or incomplete. It is intended to assist, not replace, human judgement. You are responsible for reviewing output and for decisions you make using it, including any hiring decisions. See Part B for more.
7. Third-party links
The Website links to third-party websites. They are outside our control, and we are not responsible for their content, availability or practices.
8. Disclaimer
The Website is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties, express or implied, about its accuracy, completeness, availability or fitness for a particular purpose.
9. Limitation of liability
To the maximum extent permitted by law, Intellivane, its directors, employees and affiliates are not liable for any indirect, incidental, special or consequential loss, or loss of profit, revenue, data or goodwill, arising from your use of the Website. Nothing in these Terms excludes liability that cannot be excluded under Indian law.
10. Indemnity
You agree to indemnify Intellivane against claims, losses and expenses arising from your breach of these Terms or misuse of the Website.
11. Privacy
Our handling of personal data is described in the Privacy Policy.
12. Changes and termination
We may change the Website or these Terms at any time by posting an updated version. Continued use after changes means you accept them. We may suspend or restrict access to anyone who breaches these Terms.
13. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith through discussion. Failing that, the courts at Delhi have exclusive jurisdiction.
Part B: SakhaOS service terms
These terms apply to an agency or business ("Customer") that uses SakhaOS at app.sakhaos.com, and to the people it authorises to use it ("Users"). By signing in or accepting an order form, the Customer agrees to them.
B0. Our role
Intellivane provides SakhaOS as a technology platform. We act as an intermediary and, for personal data, a Data Processor. We do not source, select, own, verify or control candidate data, do not decide who is called or hired, and do not make hiring decisions. Nothing in these terms makes Intellivane a recruiter, employer, staffing agency or the Data Fiduciary of candidate data. We rely on the safe-harbour available to intermediaries under section 79 of the Information Technology Act, 2000 and its rules, to the extent applicable.
B1. The service
SakhaOS is a recruiter-screening service. The Customer uploads jobs and candidate CVs; the service uses AI to read and score CVs, places screening and technical interview phone calls to candidates using an AI voice assistant, records and transcribes those calls, ranks candidates, and provides tools for interview feedback, offers, reports and an "Ask AI" assistant. It may send emails and WhatsApp messages. Features, plan limits (for example numbers of jobs, CVs, calls and users) and calling hours depend on the Customer's plan and may change; we will tell you of material reductions.
B2. Accounts and Users
The Customer must give accurate information, keep sign-in details confidential, and is responsible for everything done under its accounts and for removing Users who leave. Tell us promptly at info@intellivane.com if you suspect unauthorised access. Each User must have the role and access the Customer intends.
B3. Plans, fees and payment
Fees, billing cycle and plan limits are as stated on the order form, quote or plan page. Taxes (including GST) are extra unless stated. [TO CONFIRM: payment terms, invoicing, renewal and refund policy.] If a plan expires or a limit is reached, new jobs, CV uploads and calls may be paused while existing data stays viewable.
B4. Customer data and roles
The Customer owns its data (CVs, candidate details, recordings, transcripts and outputs) and gives us the right to process it to provide the service. For candidate personal data, the Customer is the Data Fiduciary and Intellivane is the Data Processor, as set out in our Privacy Policy (section 9). [TO CONFIRM: whether a separate data processing agreement will be signed with each Customer.]
B5. Customer's sole responsibility for candidates and data
Every candidate name, email address, mobile number, CV, recording, transcript and other item of personal data in SakhaOS is uploaded or instructed by the Customer. The Customer is solely responsible for its lawfulness and accuracy and for any claim by a candidate, authority or other person about it. Without limitation, the Customer must:
- obtain and keep valid consent or have another lawful basis under the DPDP Act, and give any notice required, to upload candidate data and to contact candidates by phone, email and WhatsApp;
- give candidates clear notice that calls are made by an AI assistant and are recorded and transcribed, and keep the AI disclosure in the call script;
- call only within lawful hours, respect do-not-disturb rules and opt-out requests, and not call anyone who has asked not to be contacted;
- keep candidate information accurate, and answer candidate requests for access, correction, deletion and withdrawal of consent, with Intellivane assisting where reasonably needed; and
- review AI output and make hiring decisions with human judgement. The Customer, not Intellivane, is the recruiter or employer responsible for those decisions and must not rely solely on automated scores to reject a person.
B6. Acceptable use
You must not use SakhaOS to: break any law (including the DPDP Act, the Information Technology Act, 2000 and telecom and anti-spam rules); discriminate unlawfully on grounds such as religion, caste, gender, disability or age; upload data you have no right to use; harass, mislead or pressure candidates, or impersonate a person; deny being an AI when a candidate asks; upload malware or attempt to access another Customer's data; probe, overload or reverse-engineer the service; resell it without our written consent; or use it for purposes unrelated to recruitment. We may suspend access, with notice where practical, to stop misuse or protect people or the service.
B7. AI output and third-party services
AI scores, transcripts, summaries and answers can be wrong, incomplete or biased and may mishear accents or noisy lines. They are decision-support only. The service relies on third-party providers (for example AI models, voice, telephony and messaging providers) and on telecom networks, so call connection, call quality and delivery of messages are not guaranteed.
B8. Intellectual property
Intellivane keeps all rights in SakhaOS, its software, scoring methods and documentation. The Customer gets a limited, non-exclusive, non-transferable right to use it during the subscription for its internal recruitment business. The Customer keeps its rights in its own data.
B9. Confidentiality and security
Each party will keep the other's non-public information confidential and use it only for the service, except where disclosure is required by law. We apply reasonable security safeguards as described in the Privacy Policy but cannot guarantee that the service will be uninterrupted or error-free. [TO CONFIRM: any uptime or support commitments.]
B10. Warranty disclaimer and liability
To the maximum extent permitted by law, SakhaOS is provided "as is" and we disclaim implied warranties, including about the accuracy of AI output and fitness for a particular purpose. Intellivane is not liable for indirect or consequential loss, or loss of profit, revenue, data, goodwill or hiring opportunities, or for decisions made using AI output. Intellivane has no liability for the Customer's or any User's non-compliance with law, for the data the Customer supplies or instructs us to process, or for the Customer's calls, messages or hiring decisions. Subject to the next sentence, our total liability for any claim relating to the service is limited to the fees paid by the Customer for the service in the [TO CONFIRM: 12] months before the claim arose. Nothing here limits liability that cannot be limited under Indian law.
B11. Indemnity
The Customer will defend and indemnify Intellivane, its directors, employees and affiliates against all claims, penalties, losses and reasonable costs (including legal fees) arising from: the data the Customer or its Users upload or instruct us to process; any lack of consent, lawful basis or notice; calls, messages and recordings made on its instructions; its breach of Part B or the law; or its hiring decisions. This applies whether the claim is made by a candidate, a client of the Customer, a regulator or anyone else. Intellivane will tell the Customer of a claim promptly and reasonably cooperate at the Customer's cost.
B12. Term and termination
The subscription runs for the period on the order form or plan. Either party may end it for the other's material breach that remains unremedied [TO CONFIRM: number of days] after notice. The Customer may stop using the service at any time; fees already paid are non-refundable unless the order form says otherwise [TO CONFIRM]. On ending, the Customer can export its data for [TO CONFIRM: number of days], after which we delete it as described in the Privacy Policy. Sections that by nature should survive (confidentiality, liability, indemnity, governing law) survive.
B13. Changes and governing law
We may update Part B by posting a new version and, for material changes, notifying Customers. Continued use after the effective date means acceptance. Part B is governed by the laws of India. Section 13 above applies to disputes: first good-faith discussion, then the courts at Delhi. [TO CONFIRM: whether to add arbitration.]
